Andrew Fertitta is involved in a wide variety of corporate securities and merger and acquisition transactions, including public and private offerings of debt and equity securities, acquisitions and sales of privately held companies, private equity and mezzanine financings, SEC reporting and compliance and formation and structuring of startup ventures.   He has been named as a "Texas Rising Star" in surveys conducted by Texas Monthly magazine in 2007 and 2008.

Prior to beginning his law practice, Mr. Fertitta served as a judicial clerk for the Honorable James J. Brady, U.S. District Judge, Middle District of Louisiana.

  • $300 million underwritten public offering of equity securities for a drilling company.
  • $238 million private placement in a Rule 144A offering of convertible debt securities for an oilfield services company.
  • $125 million private placement in a Rule 144A offering of convertible debt securities for a drilling company.
  • Tender offer for $200 million of convertible debt securities for an oilfield services company.
  • Underwriter's counsel in a $28 million public offering of equity securities by a master limited partnership in the retail propane distribution business.
  • Formation and initial financing of a mezzanine investment fund focused on the oil and gas industry.
  • Round B venture capital financing for an information technology company.
  • Sale of a distributor of tubular goods and services to a publicly held company.
  • Representation of financial purchasers in their acquisitions of privately held companies.
  • Representation of mezzanine investment funds in their debt and equity financings of small and middle market companies.
  • Representation of a private consolidator in the medical waste disposal business in its acquisitions and related debt and equity financings.
