 Brian Rose is an associate in the corporate section of Porter & Hedges. While in law school, Mr. Rose served as the managing editor of the Houston Journal of International Law. Additionally, he interned for Judge Jeff Bohm of the U.S. Bankruptcy Court for the Southern District of Texas. Mr. Rose is also a member of the Order of the Barons.
Prior to attending law school, Mr. Rose gained significant experience in the marketing industry. During his work as a marketing consultant, he advised Fortune 500 clients on marketing strategies targeting high-yield customer segments. As a senior market research analyst with a large, Houston-based hospital system, Mr. Rose designed and implemented data-driven programs to increase patient satisfaction.
Mr. Rose represents public and private companies and private equity sponsors in their acquisitions, credit facilities, and general corporate matters. His practice also involves representing venture capital firms as lenders in corporate finance transactions, including secured and unsecured commercial loans, asset-based financings, mezzanine and subordinated debt investments, and acquisition financings.

- Representation of a NYSE listed oilfield service company in a Rule 144A private placement of debt securities in the approximate amount of $425 million.
- Representation of a borrower in a syndicated, senior loan facility in the approximate amount of $150 million.
- Representation of an oil and gas exploration and production company in an approximately $35 million underwritten public offering of common stock.
- Representation of a NYSE listed borrower in the agricultural products segment in a senior revolving credit facility in the approximate amount of $35 million.
- Representation of a privately held retailer of shipping and cargo containers in a senior loan facility in the approximate amount of $25 million.
- Representation of private investment funds in the purchase of subordinated debt and warrants in the approximate amount of $75 million.
- Representation of a venture capital firm in numerous senior secured credit facilities and acquisition financings.
- Representation of debtor in a Chapter 11 bankruptcy case in connection with debtor-in-possession financing and a 363 asset sale.

- Representation of a TSX listed oilfield service company in a $16.5 million acquisition of a Texas-based a private directional services business.
- Representation of a debt collection service company in a $16 million sale of the company to a private equity firm.
