 Geoff Schultz is an associate in the tax section of Porter & Hedges. His practice includes all aspects of structuring and negotiating partnership and limited liability company formations and restructurings, corporate formations and reorganizations, business acquisitions and dispositions, corporate finance transactions, deferred recognition transactions, admissions of and providing equity incentives for management and key employees, as well as choice of entity considerations, state tax planning, and client representation before IRS Exam and Appeals and state taxing authorities. - Offerings of convertible preferred stock as well as other debt and equity offerings.
- Global settlements by way of qualified settlement funds pursuant to Treasury regulations issued under section 468B.
- Litigation involving application of sections 1092 and 263(g) to complex financial instruments.
- Tax deferral solutions involving the application of section 1033 in unique circumstances involving liquidated damages and break-up fees.
- Case before the North Dakota Supreme Court in which the court declared North Dakota's dividends received deduction unconstitutional under the Commerce Clause.
