Mergers and acquisitions in the architecture and engineering industry continue to be a prosperous path forward for many firms.  In this ever changing landscape, Porter Hedges has a team that understands the key issues for all of the stakeholders on both sides of a deal.  In addition, we have a particular understanding of the industry with a qualified architect among the lead lawyers on the deals.

Key considerations in an architecture firm merger or acquisition include the following:

  • Transaction structure and elements of consideration (e.g., cash, debt, roll-over equity, earn-outs and other contingent consideration)
  • Shareholder approval of the transaction and managing communications and deal process with shareholders
  • Licensing and contract transfer issues
  • Scope of restrictive covenants and indemnification obligations of shareholders
  • Corporate governance and pre-transaction corporate “clean-up”

In addition to M&A for architecture and engineering firms, we also advise on general corporate matters including corporate structuring, member buy-outs, and business planning.  Our litigation section also represents these firms in disputes related to professional services and malpractice.

 Mergers and Acquisitions
  • Representation of Dewberry, a Virginia-based professional services firm, in its acquisition of Houston-based Wilson Architectural Group.Dewberry has over 40 offices across the U.S. and employs 2,000 people.
  • Representation of Houston-based WHR Architects (WHR) in its sale to EYP, a New York-based architecture and engineering firm.  EYP, a national leader in the higher education and government sectors, acquired WHR and its acclaimed healthcare practice as part of a strategic transaction to enable EYP to broaden its healthcare offerings and expand into the Southwest region.
  • Representation of 3D/International, Inc. in its acquisition by Parsons Commercial Technology Group, Inc.  Parsons provides technical, engineering, construction, and management support throughout the world to federal, regional, and local government agencies as well as private industries.  Parsons has more than 15,000 employees working from more than 100 locations worldwide.
