Joyce Soliman represents commercial banks, private equity sponsors, and other lenders in corporate finance transactions, including secured and unsecured commercial loans, asset-based financings, syndicated credit facilities, letters of credit, and acquisition financings. Her practice also involves representing issuers and borrowers in their capital market transactions, credit facilities, and general corporate matters.

From 2000 to 2002, Ms. Soliman served as Associate General Counsel in the legal department of a publicly-traded company at its corporate headquarters in Houston. In that capacity, she handled various corporate matters, with particular emphasis on mergers and acquisitions.

Ms. Soliman has been named a “Texas Rising Star” in surveys conducted by Texas Monthly magazine from 2005 to 2009.

Ms. Soliman is the 2010 President of the Asian American Bar Association of Houston.

Representative Experience

  • Representation of domestic or foreign banks as administrative agent, in syndicated revolving and term loan credit facilities, including:
    • $35 million credit facility for a communications company
    • $83 million multi-currency credit facility for a large industrial manufacturer
    • $100 million reserve-based credit facility for an exploration and production company
    • $100 million term loan facility for a natural gas pipeline operator.
  • Representation of one of the top asset-based lenders in the United States with more than $10 billion in commitments.
  • Representation of an oil-field service company in its $500 million credit facility.
  • Representation of debtor in “debtor-in-possession” financings.
  • Representation of mezzanine lenders in various subordinated debt facilities.
  • Representation of the lessor in a $44 million synthetic lease facility.
  • Representation of the target company or purchaser in various private mergers and acquisitions.
  • Representation of an exploration and production company is its capital market transactions.
  • Representation of the corporate trust department of a national bank in its capacity as indenture trustee, collateral agent, and cash management bank in various capital market transactions.
