 Midstream

Pipelines and Gathering Systems

  • Representation of Petrohawk Energy in the formation of a $1.75B joint venture with major gas transportation company to own and operate Haynesville gas gathering system, including gas gathering agreement with long term dedication of gas reserves to system.
  • Representation of management group of Azure Midstream Energy in the $910 million acquisition of TGGT Holdings, a joint venture between EXCO Resources Inc. and BG Group PLC, with the backing of Energy Spectrum Capital.
  • Representation of Enbridge in acquisition of Eaglebine gathering system and negotiation of long-term gathering agreement.
  • Representation of the management team of Canyon Midstream Partners in connection with the formation and initial capitalization of $300 million of capital from Kayne Anderson Capital.
  • Representation of Five Point Capital Partners and GSO Capital in acquisition of 50% interest in Twin Eagle Resource Management, a midstream logistics company in the U.S. Rocky Mountains.

Natural Gas Storage

  • Representation of renewable energy company in the acquisition of Freebird Gas Storage facility in Lamar County, Alabama and Caledonia Gas Storage Facility in Lowndes County, Mississippi.
  • Representation of renewable energy company in the greenfield development of the WAHA Gas Storage facility in Reeves County, Texas.
  • Representation of a pipeline company in the divestiture of its lease of the Napoleonville #13 and #14 (a part of the Bridgeline Systems) storage caverns in Louisiana from Dow Chemical and its sale of the pad gas to Gulf South.
 Power
  • Representation of purchaser of 150 MW portfolio of power projects located across the United States.
  • Representation of developer in negotiation of project documents and bond financing for 45 MW biomass power generation facility in East Texas.
  • Representation of landfill gas to electricity developer in all aspects of the development, construction and operation of over 100 MW of generation facilities, including negotiating and drafting power purchase agreements, development agreements, EPC contracts, interconnection agreements and O&M agreements.
  • Representation of lender in sale of 30 MW landfill gas and natural gas fueled plant in Illinois.
  • Representation of developer with respect to project development and financing of a gas-to-liquids project in Louisiana.
  • Representation of public company in global joint venture for coal gasification to power plants.
  • Representation of private equity fund in comprehensive due diligence for acquisition of companies owning two large landfill-gas-to-energy projects and in negotiating EPC contracts for major expansion of both projects.

 LNG
  • Representation of a global energy and marketing company in a series of transactions related to the development of a liquefaction facility for an LNG project, including liquefaction tolling, marketing, and revenue sharing arrangements; construction and permanent financing for a hydrocarbon liquids extraction project (negotiated and prepared all loan documentation, including negotiation and preparation of definitive collateral documentation, such as security agreements, pledge agreements, deeds of trust, and depository arrangements); and pad gas agreements related to underground gas storage facilities.
  • Representation of Southern Liquefaction Co. LLC, a Kinder Morgan company and unit of El Paso Pipeline Partners LP, in the formation of a joint venture with Shell US Gas & Power LLC to develop an LNG export plant with about 2.5 million tonnes/year in liquefaction capacity at Southern LNG Co. LLC’s existing Elba Island LNG terminal near Savannah, Ga.
  • Served as local counsel for Japanese gas and electric company’s investment in the first liquefaction train of an LNG project; conducted due diligence with respect to Texas real estate, commercial, and regulatory matters and consulted regularly on local law matters and on a variety of legal arrangements.
  • Conducted due diligence on corporate governance, terminal use agreements, employment matters, intercompany agreements, facilities sharing agreement, real estate matters, ground leases, storage leases, environmental matters, regulatory approvals, commercial contracts, tax and insurance matters for an LNG project.
  • Provided tax advice with respect to Cove Point expansion project for LNG export.
  • Representation of a private equity developer with respect to a U.S. deepwater port for an LNG project.
  • Representation of a utility developer of onshore LNG terminals along the east coast of the U.S.
 Renewables and Alternative Energy
  • Representation of Australian listed fund in stock purchase of companies owning six landfill gas-fueled plants in the Houston area.
  • Representation of private equity fund in comprehensive due diligence for acquisition of companies owning two large landfill-gas-to-energy projects and in negotiating EPC contracts for major expansion of both projects.

  • Representation of a major international chemical company in all aspects of siting, permitting and constructing a greenfield fully integrated chemical manufacturing facility in Louisiana.
  • Representation of chemical company client in the research and selection of a 2,000 acre site along the Mississippi River.
  • Drafting and negotiating FEED and Detailed Engineering Contracts for ethane conversion project.
  • Representation of companies in addressing EPC contracts, including:
    • Drafting and negotiating engineering, procurement services and material supply contracts for ethylene plant expansion projects;
    • Drafting and negotiating EPC contract for electrical substation project; and
    • Drafting and negotiating license, engineering and material supply contracts, relating to ethylene cracking heaters.
