Adam Nalley is an associate in the corporate practice group of Porter Hedges. His practice focuses on public and private offerings of equity and debt securities, mergers and acquisitions, SEC compliance, corporate governance and general corporate matters.

Mr. Nalley has represented clients in the oil and gas exploration and production, oilfield services, clean tech and manufacturing industries. He also represents investment banking firms, investors and issuers in capital market transactions.

While in law school, Mr. Nalley served as a Notes and Comments Editor of the Houston Law Review. Additionally, he interned for the Honorable Jeff Bohm of the U.S. Bankruptcy Court for the Southern District of Texas. Mr. Nalley is also a member of the Order of the Barons.

Representative Experience

  • Representation of underwriters of an exploration and production company’s $250 million IPO focused on exploration, acquisition, and development of oil and natural gas resources in the Eagle Ford shale
  • Representation of NYSE Amex listed international offshore drilling company in Rule 144A note offering of $1 billion, and subsequent tack-on offering of $25 million
  • Representation of underwriters in IPOs and follow-on public offerings of equity securities by companies in the energy industry
  • Representation of publicly traded international oil and gas company in a transaction involving a reverse merger to affect a redomicile from Delaware to the Cayman Islands, an offer to exchange over $100 million in outstanding convertible debt for equity and/or newly issued structurally-senior convertible notes, a private placement of equity securities, and, with the assistance of overseas counsel, the admission of the company’s securities to trading on the London Stock Exchange and the entry into a standby equity distribution agreement with a group of underwriters
  • Representation of private equity firms in portfolio company investments, acquisitions and dispositions
  • Representation of NYSE oilfield services company in an internal reorganization of its domestic and international subsidiaries
  • Acquisitions by both publicly and privately held companies in various industries
  • General representation of publicly held companies with respect to corporate governance and SEC reporting and compliance matters
