Corey Brown is a partner in the corporate practice group.  He advises companies on a variety of corporate, partnership and commercial matters. Mr. Brown's practice focuses on mergers and acquisitions, joint ventures, strategic partnerships and private equity. His experience covers a broad spectrum of energy-related matters within the upstream, midstream and downstream sectors. He has particular experience in the midstream sector, focusing on the purchase and formation of business and joint ventures in the oil and natural gas gathering, processing, storage and transportation businesses.

Mr. Brown's specific experience includes:

  • Private merger, acquisition and sale transactions, including private equity, management and leveraged buy-outs, in many industries.
  • Public-company merger transactions, including going-private transactions in the energy services industry.
  • Private placements of debt and equity for private and publicly held companies in many industries.
  • Venture capital financings for privately held companies in the energy and technology industries.

Prior to join Porter Hedges, Mr. Brown was a partner with Bracewell & Giuliani LLP.

Representative Experience

  • Representation of the management group in the $1 billion private equity backed formation of Maverick American Natural Gas.
  • Representation of Noble Energy in the completion of the $3.2 billion joint venture with CONSOL Energy in the Marcellus Shale.
  • Representation of Cameron International Corporation in $375 million acquisition of LeTourneau Technologies Drillings Systems from Joy Global Inc.
  • Representation of Kinder Morgan Energy Partners in $220 million joint venture with Valero Energy Corp for the development of a fuel supply pipeline in Mississippi and Louisiana.
  • Representation of Kinder Morgan Partners in the formation of $3.4 billion Midcontinent Express Pipeline joint venture.
  • Representation of Kinder Morgan Partners in the formation of $1.3 billion Fayetteville Express Pipeline joint venture.
  • Representation of Kinder Morgan Partners in the formation of the Cypress Interstate Pipeline joint venture.
