His practice involves advising clients with regard to the federal income taxation of individuals, partnerships, and corporations involved in domestic and international business transactions. Mr. Gurley has a particular focus on transactions and issues involving the energy industry.
Mr. Gurley has advised many of the firm’s clients in a variety of transactions, including entity formations, reorganizations, dispositions, mergers and acquisitions, and U.S. cross-border tax issues. In addition, he has experience advising nonprofit and tax-exempt organizations and assisting clients with issues related to state and local taxation and employee benefits.
Prior to joining the firm, Mr. Gurley served as an attorney-advisor and law clerk for the Honorable Harry A. Haines of the United States Tax Court in Washington, D.C. |
Representative Experience
- Business start-ups – choice of entity tax and business considerations.
- Company agreements – drafting limited liability company and partnership agreements, including tailoring complex tax allocation provisions to achieve desired economic results.
- Federal and Texas state tax planning (including franchise, margin, severance, and sales tax) and compliance matters in connection with a variety of business transactions.
- Like-kind exchanges – planning and implementing tax deferred like-kind exchanges under Internal Revenue Code section 1031.
- Mergers and acquisitions – tax planning and compliance with respect to a wide variety of business combinations.
- U.S. cross-border transactions – planning in respect of U.S. inbound and outbound transactions.
