Justin Elkouri is an associate in the corporate practice group of Porter Hedges. His practice focuses on corporate matters, mergers and acquisitions, and corporate and partnership tax. Mr. Elkouri’s experience includes private equity and venture capital transactions, acquisitions and sales of private and public companies, drafting and negotiating licensing and service contracts related to the petroleum engineering industry, formation and structuring of corporations, limited partnerships and limited liability companies, and general corporate governance.

Mr. Elkouri received the Porter Hedges 2010 Pro Bono Award for his contributions providing pro bono legal services to individuals in the Houston community. While in law school, Mr. Elkouri served as Editor-in-Chief of the Kansas Journal of Law and Public Policy and was the 2008 recipient of Justice Lloyd Kagey's Leadership Award at the University of Kansas School of Law.

• Formation of KinderHawk Field Services’ midstream joint venture of $1.75 billion in the Haynesville shale area between affiliates of Petrohawk Energy and Kinder Morgan Energy Partners, LP.
• Represented MML Capital Partners Investment in Precision Valve Corporation, in connection with recapitalization including debt and equity restructuring.
• Represented Third Coast Fresh Distribution, LLC in its acquisition of substantially all the assets of Third Coast Produce Company, Ltd.
• Purchase and sale of Petrohawk Energy’s interest in KinderHawk Field Service to an affiliate of Kinder Morgan Energy Partners, L.P. together with the formation of EagleHawk Field Services’ midstream joint venture in the Eagle Ford shale area between affiliates of Petrohawk and Kinder Morgan.
• Represented the Situs Companies LLC, a global real estate advisory firm, in the sale of 100% of its equity interest to Helios AMC, a rated special servicer sponsored by Ranieri Partners Management LLC.
• Represented a privately held biopharma company in the sale of a subsidiary that provides contract genomic sequencing to GE Healthcare.
