Mr. Marshall counsels clients in the areas of acquisitions and dispositions of properties and mineral interests, agreements relating to exploration and production activities, and secured lending relating to oil and gas production and midstream assets.
Mr. Marshall's real estate experience includes the representation of purchasers, sellers, landlords, and tenants in all aspects of real estate transactions. This includes retail, office, and industrial acquisitions, sales, leasing, financing, and development.
Mr. Marshall's other banking experience includes representing financial institutions and borrowers in secured lending transactions, asset securitization, sale-leaseback transactions, construction transactions, and real estate workouts and foreclosures. |
Representative Experience
- Represented a Japanese conglomerate in a $1.4 billion venture with a major U.S. oil and gas company to jointly explore for and develop natural gas in the Marcellus Shale Formation
- Represented a Canadian hedge fund in the financing of a company acquiring interests in offshore Gulf of Mexico oil and gas leases with value of approximately $245 million
- Represented a private equity company in a $400 million venture with a major U.S. oil and gas company to jointly explore for and develop natural gas in the Eagleford Shale Formation
- Represented the agent bank in a $350 million restructuring of a syndicated credit facility for a pipeline and exploration and production company
- Represented the agent bank in a $900 million syndicated credit facility for a pipeline company
- Represented the agent bank in a $375 million syndicated credit facility for a refining company
- Represented a real estate investment company in the purchase of loans secured by improved property involving original debt in excess of $275 million
- Represented a waste management corporation in the acquisition of industrial facilities exceeding 1 million square feet
