Bill Wiggins is a partner in the corporate and securities, finance, and corporate reorganization sections of the firm, and is involved in a wide range of merger and acquisition transactions, corporate lending and high yield finance transactions and workouts and corporate restructurings. He has been listed in The Best Lawyers in America in Corporate Law since 2004, and as a “Texas Super Lawyer” in Mergers and Acquisitions in surveys conducted by Texas Monthly since 2004. He was also named as a "Best Lawyer in Corporate Law" by Corporate Counsel in 2006. In 2008, Mr. Wiggins was listed in Super Lawyers, Corporate Counsel Edition in the area of Mergers and Acquisitions. Mr. Wiggins has represented venture capital and leveraged buy-out firms and other investors, issuers, borrowers and lenders in a wide range of transactions over the last 36 years. He has extensive experience in:

Representative Experience

  • Lead attorney in representation of drilling company in the negotiation of commitments for $925 million of senior secured loans to finance a merger.
  • Lead attorney in representation of an oil and gas exploration and production company in senior and subordinated financing for an acquisition of approximately $800 million of oil and gas properties.
  • Lead attorney in representation of an oil and gas service company in approximately $825 million of senior bank debt and high yield notes to finance operations, acquisitions and stock buy-back.
  • Lead attorney in representation of an entity in the negotiation of an agreement to purchase the “crown jewel” pipeline assets of Enron Corp. for approximately $2.2 billion.
  • Lead attorney in representation of an oil and gas company in placement of approximately $250 million of high yield notes, senior secured notes and bank facilities.
  • Lead attorney in representation of an oil and gas company in the negotiation of D-I-P and exit financing and a plan of reorganization.
  • Lead attorney in representation of a recently formed technology company in connection with raising over $50 million from venture capital investors and completing a number of geographically diverse acquisitions.
  • Lead attorney in representation of a company in the energy service business in connection with the issuance of approximately $800 million in bank, bridge and high yield debt to finance a successful tender offer.
  • Lead attorney in representation of a company in the waste industry in connection with in excess of $1.7 billion in bank and high yield financing for a major acquisition.
  • Lead attorney in representation of a diversified industrial company in connection with a workout and restructuring of in excess of $100 million in syndicated bank loans.
  • Lead attorney in representation of a public company in connection with the ultimate sale of its assets in a privately negotiated foreclosure sale.
  • Joint lead attorney in representation of an apparel company in connection with the negotiation and implementation of D-I-P financing with asset-based lenders.
