Emily Ashby is an associate in the corporate and energy sections of Porter Hedges. She represents public and private companies in a variety of matters, including mergers and acquisitions, debt and equity financings, public and private offerings of debt and equity securities, SEC compliance, corporate governance, executive employment agreements, and general corporate matters.

Emily obtained her J.D. from The University of Texas School of Law. She also obtained her M.B.A. from The University of Texas. While in law school, counseled entrepreneurs in both legal and business capacities through the Entrepreneurship & Community Development Clinic and Texas Venture Labs, and was a member of Venture Fellows through the McCombs School of Business.  She also interned with Owner Resource Group, an Austin-based private equity firm, and Statoil, an international oil and gas company.

Representative Experience

  • Represented publicly-traded seller in $1.2B divestiture of oil and gas properties in the Marcellus shale
  • Counseled industrial services company in $500M acquisition by Canadian private equity firm
  • Represented death care services company in $350M senior notes offering and exchange of $115M convertible notes
  • Represented diversified energy company in $290M senior secured notes offering and $200M refinancing
  • Assist refinery and logistics company in $70M purchase of gas stations and convenience stores in the Pacific Northwest
  • Draft asset purchase agreements as debtor-counsel in Section 363 sale for seismic data and emergency room companies
  • Assist private-equity backed manufacturing company in roll-up acquisitions of distributors for a total of $8M to date
  • Provide ongoing representation and negotiation of master services agreements for premier reservoir engineering firm
  • Drafted bankruptcy objections, discovery requests and responses for secured creditor in litigation with SunEdison, Inc.
  • Represented E&P company in merger with public E&P company resulting in the total issuance of 48.4M shares of stock
  • Provide ongoing representation of New York mezzanine lender and PE firm in portfolio investments across all industries
  • Prepare and draft Securities Act filings for issuers and underwriters across various industries
  • Counsel various companies regarding ongoing Exchange Act reporting, SEC issues, proxy statements, NYSE and NASDAQ matters, board of directors’ issues, corporate governance, insider trading and Reg FD disclosures
  • Conducted and organized legal due diligence for buy-side and sale-side of M&A deals and as issuer and underwriter counsel in both public and private debt and equity offerings
