Allison Pearce represents public and private companies in a variety of matters, including mergers and acquisitions, debt and equity financings, corporate governance and entity formation, public and private offerings of debt and equity securities, and private equity investments.  She advises clients on acquiring and disposing of businesses through mergers, equity purchase agreements, asset purchase agreements, and other forms of combination or exchange agreements. Allison represents clients in a variety of industries, including consumer products, upstream and midstream energy, oilfield services, and industrial.

She also has experience in negotiating senior secured, senior subordinated, mezzanine, and subordinated debt facilities; private equity and venture capital financings; and SBIC investments of long-term debt and equity capital in eligible small businesses.

In addition, Allison counsels clients on commercial leasing on both the tenant and landlord side, real estate finance, and other general corporate matters.
