Porter Hedges provides full-service support to our renewable energy clients. We are capable of advising start-up companies on such issues regarding formation, employment, environmental, corporate structure, and technology protection. Once established, we continue our representation by assisting in the areas of governance, merger and acquisition, finance, development and acquisition opportunities and joint venture arrangements.
Our infrastructure team advises clients from the initial stages of investment and tax strategies to the development, acquisition, financing, construction and operation of renewable and alternative energy projects. Our lawyers are engaged in various sectors of the industry, including biomass, landfill gas-to-liquids, solar, and wind energy projects.
Carbon Capture and Storage (CCS)
Our team advises clients on the transactional structuring of CCS projects. We counsel energy companies, infrastructure developers, and investors on the full range of commercial agreements and joint venture arrangements necessary to support complex CCS initiatives. Our work includes structuring ownership and governance frameworks, negotiating carbon transportation and storage agreements, and advising on carbon offtake and credit monetization strategies.
We help clients allocate risk across the CCS value chain, with particular focus on long-term liability, indemnities, and regulatory compliance. Our transactional team brings decades of experience in energy infrastructure development, enabling us to craft practical, innovative deal structures that align with project economics and regulatory requirements.
Biomethane
We have significant experience advising clients on the transactional structuring and contracting for biomethane projects, including renewable natural gas, biodiesel, sustainable aviation and marine fuels and green and blue hydrogen projects. We represent project developers, investors, and energy companies in negotiating key commercial agreements such as feedstock supply contracts, offtake and interconnection agreements, EPC and other construction agreements, tax credit transactions including tax equity investments and the direct sale of tax credits, and joint venture arrangements.
Our team structures transactions to address complex issues related to project financing, environmental attributes (including RINs and LCFS credits), tax credits, and long-term risk allocation. We understand the regulatory and commercial dynamics of the biomethane value chain and work closely with clients to structure deals that align with market opportunities and compliance obligations.
